Terms of Service
Version 1. Effective 2026-01-01. This is the current version.
# Terms of Service
*Draft for attorney review. Effective \[Effective Date\]. Version 1.*
These Terms are an agreement between \[Company LLC Name\], a Massachusetts limited liability company ("we," "us"), and the organization that signs up for Impact Story ("you," the "Organization"). The person accepting these Terms confirms they have authority to bind the Organization. The Acceptable Use Policy, AI Disclosure Policy and Data Processing Agreement are part of these Terms.
## 1. The service
Impact Story lets organizations invite people ("Storytellers") to record their stories, then uses software, including AI, to edit those recordings and photos into branded videos. Each Organization gets a subdomain at impactstoryapp.com. The service is offered only to organizations based in the United States, for use with Storytellers in the United States.
## 2. Accounts
- You're responsible for your account, your team members' access and their actions. Seats are unlimited; give access only to people who need it.
- Keep sign-in details secure and tell us promptly at support@impactstoryapp.com if you suspect unauthorized access.
- You must be an organization, not an individual consumer, and the information you give us must be accurate.
## 3. Plans, billing and renewal
- **Plans:** Free, Community, Ministry and Network, as described on our pricing page at the time you subscribe. A "story" is counted when your organization approves it.
- **Automatic renewal:** paid plans renew automatically at the end of each monthly or annual term at the then-current price until canceled. We'll email a reminder 30 days before each annual renewal and tell you in advance of any price change.
- **Cancel anytime:** you can cancel online from the Billing page. Cancellation takes effect at the end of the current term; we don't refund partial terms except where required by law.
- **Upgrades** take effect immediately with a prorated charge. **Downgrades** take effect at the end of the term.
- **Story packs** are one-time purchases and don't expire while you have an active subscription.
- **Payment:** we use Square to process payments. Network plans and annual invoices may be paid by ACH.
- **Taxes:** prices don't include taxes. We charge sales tax where required, unless you give us a valid exemption certificate.
- **Failed payments:** if a payment fails, we'll email you and retry. After a grace period we may pause new approvals until payment is made. We won't delete your content because of a late payment.
## 4. Your content and Storyteller consent
- **You own your content.** Between us, your Organization owns the videos made for it, subject to the rights Storytellers keep under the Storyteller Release. Storytellers keep ownership of their own recordings and photos and license them to you.
- **License to us:** you give us a limited license to host, process, edit, render, store and display your content only to provide and improve the service for you, as described in the Privacy Policy and Data Processing Agreement. We don't use your content or Storytellers' content to train AI models.
- **Consent is your responsibility.** You must use the service's consent flow for every Storyteller, use stories only within the consent each Storyteller gave, and honor their choices to narrow consent or request removal.
- **Removals:** when a Storyteller requests removal, we unlist the video on our pages and embeds immediately. You agree to remove it from channels you control (your website, social accounts, printed materials going forward) within 10 business days and confirm in the portal.
- **Age:** Storytellers must be 18 or older. Don't invite, record or submit a story told by anyone under 18.
- **Photos and music:** only upload photos you or the Storyteller have the right to use, and only use music we provide in the service.
## 5. Our right to remove content
We may unlist, remove or refuse content that we reasonably believe breaks these Terms, the Acceptable Use Policy or the law, that a Storyteller has withdrawn, or that is subject to a valid request under the TAKE IT DOWN Act. Where we can, we'll tell you why.
## 6. AI features
The service uses AI to transcribe, select and arrange the Storyteller's own words, describe and crop photos, suggest titles and captions, and, if a Storyteller chooses, read their approved words in a stock AI voice. AI suggestions can be wrong. You're responsible for reviewing each story before approving it. Our AI Disclosure Policy explains the labels we apply and the ones you must keep.
## 7. Our service and intellectual property
We own the service, our software, templates, design system and the Impact Story name and branding. You get a non-exclusive, non-transferable right to use the service during your subscription. Don't copy, resell, reverse engineer or scrape it. If you send us feedback, we may use it without obligation to you.
## 8. Third-party content and services
Music in the service is licensed from third-party catalogs for use in videos made with Impact Story. That license covers your videos for as long as they remain published, including after you cancel. You may not extract music from the service for other uses.
## 9. Confidentiality and data protection
Each of us will protect the other's confidential information with reasonable care and use it only for this agreement. Our handling of personal data is governed by the Data Processing Agreement and the Privacy Policy.
## 10. Warranties and disclaimers
We'll provide the service in a professional manner and maintain the security measures described in the Data Processing Agreement. Otherwise the service is provided "as is." To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we don't promise the service will be uninterrupted or error-free.
## 11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data. Each party's total liability under these Terms is limited to the fees you paid us in the 12 months before the claim. These limits don't apply to your payment obligations, either party's indemnity obligations, or a party's gross negligence or willful misconduct.
## 12. Indemnity
- **You'll defend and indemnify us** against third-party claims arising from content you or your Storytellers submit, your use of stories outside the consent given, or your failure to honor a removal.
- **We'll defend and indemnify you** against third-party claims that the service itself (excluding your content) infringes a US intellectual-property right.
## 13. Term, termination and your data
- These Terms last while you have an account. You can close your account anytime; we can suspend or terminate it for material breach that isn't cured within 15 days of notice, or immediately for serious abuse or legal risk.
- **Export:** owners and admins can export all stories, transcripts, consent records and videos at any time, including for 30 days after closing the account.
- **Deletion:** 30 days after closure we delete your content, except consent records we must keep and backups that roll off within 35 days.
## 14. Changes
We may update these Terms. For material changes, we'll give at least 30 days' notice by email and in the portal, and ask you to accept the new version. If you don't accept, you can cancel before the change takes effect.
## 15. General
- **Governing law:** the laws of the Commonwealth of Massachusetts, excluding conflict-of-laws rules. Disputes go to the state or federal courts located in Massachusetts.
- **Notices:** to us at legal@impactstoryapp.com and \[Mailing Address\]; to you at your account owner's email.
- These Terms are the entire agreement on this subject. If any part is unenforceable, the rest still applies. Neither party may assign these Terms without consent, except in a merger or sale of substantially all assets. Delays outside a party's reasonable control excuse performance while they last.
